A straightforward sale followed by a leaseback.

The company sells agreed assets to us for a commercial purchase price. We then lease those assets back so the business can continue using them under clear lease terms.

Valuation basis

We do not treat book value as the automatic market value. Used commercial assets and stock are reviewed against realistic trade, auction, liquidation or net realisable values, taking account of age, condition, saleability, removal cost and market demand.


Current assets and stock

Where a company wants to sell broad categories such as current assets and stock, we use a completion certificate, site description, photos and exclusions so the transfer is properly documented.

Secure stock relocation

For suitable stock, we can help coordinate stock relocation, inventory capture, chain-of-custody records and transfer into secure premises or storage facilities.


Distribution support

We can also assist with onward distribution, pick/pack, release instructions, stock reporting and practical logistics support where the stock type, access arrangements and facility capacity allow it.

Sale-and-leaseback is useful, but it must be handled properly. We ask the difficult questions up front so the transaction has a clean paper trail.

Ownership checks

We ask for proof of ownership, invoices, asset registers, serial numbers, finance disclosures and retention-of-title information where relevant.

Creditor & enforcement disclosure

Companies must disclose judgments, writs, threatened enforcement, statutory demands, winding-up threats and other matters that may affect the assets or transaction.

Commercial purpose

The transaction must have a proper commercial purpose, with fair value, real payment, lease terms and proper company approval.

Can the company keep using the assets?

Yes. That is the purpose of a sale-and-leaseback. The assets can stay in use at the company’s premises, but after completion the company uses them as lessee rather than owner.

Can stock and current assets be included?

Potentially, yes. Broad categories need careful documentation, including site details, photos, valuation notes, exclusions and a completion certificate to show what was transferred.

What if there are creditors or court proceedings?

They must be disclosed. A sale-and-leaseback should not be used to hide assets or prejudice creditors. Where there is a live judgment, writ, enforcement notice or insolvency risk, specialist legal advice may be needed before completion.

Is book value used for the purchase price?

Not automatically. Book value may not reflect the real market value of used assets or stock. We look at fair commercial value, including likely auction, trade or net realisable value.

Can you help with stock relocation and distribution?

Potentially, yes. We can review the stock type, location, volume, handling requirements, access arrangements and distribution needs before confirming whether we can assist.

Who insures the assets after completion?

The lessee normally keeps the assets insured for full replacement or agreed value, with our interest noted as owner where possible.
